These Terms of Service govern access to and use of cyang.io and Doclinks (the "Service"). By creating an account, accessing the Service, or using any feature, you agree to these Terms.

1. Agreement Scope

These Terms apply to users, administrators, and recipients who access content through share links or other delivery flows.

2. Eligibility and Authority

You must be legally able to enter into a binding agreement. If you use the Service for a company or organization, you represent that you have authority to bind that entity.

3. Account Registration and Security

You are responsible for account activity, credential confidentiality, and reasonable endpoint security.

  • Use accurate account information.
  • Keep authentication credentials secure.
  • Promptly notify us of unauthorized access at security@cyang.io.

4. Service Access and Permitted Use

Doclinks is designed for controlled external document delivery, not general consumer cloud storage. You may use the Service only in compliance with these Terms, the Acceptable Use Policy, and applicable law.

5. Customer Data Ownership and Service License

You retain ownership of documents and data you upload ("Customer Data").

You grant cyang.io a limited, non-exclusive, worldwide license to host, process, encrypt, transmit, and display Customer Data solely to operate, secure, and improve the Service.

We do not sell Customer Data and do not use Customer Data to train public machine learning models.

6. Security Controls and Enforcement

The Service uses server-side enforcement for plan limits and sharing policy controls. You acknowledge that security controls may block, quarantine, revoke, or limit delivery when risk states are detected.

7. Acceptable Conduct

You must not use the Service for unlawful, abusive, deceptive, or harmful purposes. Prohibited behavior is described in the Acceptable Use Policy.

8. Fees, Billing, Taxes, and Renewals

Paid plans are billed in advance under your selected billing cycle.

  • Fees are stated before purchase.
  • Unless otherwise required by law, fees are non-refundable.
  • You are responsible for applicable taxes except taxes based on our net income.
  • If payment fails, we may suspend paid features until payment is resolved.

9. Free, Trial, Beta, and Experimental Features

Free, trial, preview, or beta features may have limited functionality, reduced support, or no uptime commitment. These features may change or be removed at any time.

10. Third-Party Services

The Service may rely on third-party infrastructure and service providers. Their interruptions may affect availability. Subprocessors are disclosed in the Subprocessors policy.

11. Confidentiality

If you share non-public business information with us for support, security review, or procurement, we will use reasonable measures to protect that information and use it only for the requested purpose.

12. Intellectual Property Rights

The Service, software, branding, interface elements, and related content are owned by cyang.io or licensors and are protected by intellectual property laws.

These Terms do not transfer ownership of our intellectual property to you.

13. Feedback

If you submit feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction and without compensation.

14. Suspension and Termination

We may suspend, restrict, or terminate access when reasonably necessary to:

  • investigate abuse or security incidents,
  • prevent harm to users or third parties,
  • comply with law or legal process,
  • enforce these Terms or the Acceptable Use Policy,
  • protect service integrity and availability.

You may stop using the Service at any time.

15. Data Retention and Deletion

Retention and deletion behavior may depend on plan level, operational controls, legal obligations, and security workflows. See the Privacy Policy and Data Retention page for additional context.

16. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYANG.IO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CYANG.IO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

18. Indemnification

You agree to defend, indemnify, and hold harmless cyang.io and its personnel from claims, liabilities, losses, and expenses arising from:

  • Customer Data you upload or share,
  • your use of the Service in violation of these Terms,
  • your violation of applicable law or third-party rights.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, excluding conflict-of-law principles.

Any dispute will be resolved in state or federal courts located in Minnesota, unless otherwise required by applicable law.

20. Changes to the Service or Terms

We may modify the Service or these Terms as the platform evolves. Material changes will be reflected by updating the Last Updated date and posting revised terms at /legal.

Continued use after updated Terms become effective constitutes acceptance.
